Terms of Use
1. Basic SKYDB services
These Terms of Use apply whenever you access or use the websites, apps, APIs, connectors, or other offerings provided by SKYDB Corporation, Chicago, Illinois ("SKYDB"), whether you use free or paid services. Basic access is free; charges apply to the paid products, features, and usage you order or authorize. These Terms of Use cover browsing, accounts, voluntary contributions, and receiving newsletters and other information by email, chat, or other messaging channels. Access to an interface does not mean that every feature or request is free. The SKYDB API, websites, and apps are access channels, rather than separate data licenses. The applicable product and license determine access rights, permitted use, and charges.
Purchases are governed by the Terms of Service. They supplement these Terms of Use for paid services and take precedence in a conflict concerning paid-service rights, charges, performance, or remedies. The account, conduct, and contribution rules below apply to all users, including paying customers. Provisions expressly limited to free services apply only to those services. Separate notices govern material expressly offered under another license, including Terms of Definitions.
2. Accounts and communications
Account holders must be at least 18 years old and legally able to agree to these terms. A person acting for an organization must have authority to bind it. Provide accurate account details, protect credentials and API tokens, and promptly report unauthorized access to [email protected]. Credentials are personal and must not be shared.
Account rights determine access across SKYDB interfaces. Free membership or editorial permission does not guarantee paid access. Contribution rewards apply only under the applicable program; losing a reward does not authorize a charge.
SKYDB may send messages needed to administer an account or provide a requested service, including verification, security, order, billing, and material service notices, through the email address or other channel provided for that purpose. Optional alerts follow the preferences selected for that service.
SKYDB may also send newsletters, SKYDB and tall-building news, product updates, offers, and other promotional information by email, chat, or messaging services where legally permitted, with separate consent for the relevant purpose and channel where required. Marketing is optional; creating an account or accepting these terms alone is not marketing consent. A newsletter signup requests the described newsletter, subject to any required confirmation, and does not authorize unrelated marketing or additional channels.
You may unsubscribe, withdraw consent, or object to marketing at any time without charge, using the option provided in the message or by contacting [email protected]. Marketing opt-outs do not prevent messages necessary to operate a requested service or meet a legal obligation. The Privacy Policy explains the associated personal-data processing; choosing a third-party chat or messaging service also involves that provider's terms and privacy practices.
3. Permitted use
SKYDB permits ordinary browsing, searches, and use of authorized free features for personal research or internal business purposes, within applicable access limits. Use APIs and connectors only as documented and authorized for the account. A free API response does not grant a bulk-download, permanent-storage, publication, or redistribution license.
SKYDB and its contributors or licensors retain their respective rights in content, software, and databases. Except under an express license or rights that applicable law does not permit these terms to restrict, do not republish, distribute, sell, sublicense, or build a competing data service from SKYDB content. Attribution alone does not supply permission. Nothing here claims ownership of independently obtained facts or your own original work.
4. Responsible use
Do not submit unlawful, infringing, deliberately false, abusive, or malicious material; impersonate others; expose private information without authority; evade fees or access limits; or interfere with service security. Systematic extraction must use an expressly authorized method and remain within its license. Do not bypass restrictions through multiple accounts, shared tokens, scraping, or an AI agent.
Authorized AI connections remain subject to the same access and content rights as other interfaces. They do not permit model training, public data distribution, or onward licensing without express permission. Third-party apps and linked websites have their own terms and privacy practices.
5. Contributions
You retain ownership of material you contribute. Data, text, images, media, corrections, and other material submitted for inclusion in SKYDB records, publications, or publicly available content are "Public Contributions," whether submitted through the website, app, API, connector, or another channel designated by SKYDB for that purpose. Public Contributions must not contain confidential material.
For Public Contributions, you grant SKYDB a worldwide, nonexclusive, perpetual, irrevocable, fully paid-up, royalty-free, transferable license, sublicensable through multiple tiers, under the intellectual property and database rights you own or are authorized to license, to use, host, store, reproduce, correct, modify, translate, adapt, combine, create derivative works from, publish, transmit, distribute, publicly display, publicly perform, sell, license, and otherwise commercially exploit the material in any media or format now known or later developed. SKYDB may exercise these rights to operate, develop, improve, promote, and commercialize its business, platforms, publications, and data or media products and services, including authorizing those uses by customers and other licensees, without further approval or payment unless separately agreed or required by law.
You represent and warrant that you have the rights, permissions, and authority needed to submit the material and grant this license. This applies equally to contributions submitted on your behalf by an employee, contractor, representative, AI agent, or other automated system acting within your authorization. You must ensure that authorized submitters have that authority and that their submissions comply with these terms. An agent cannot grant rights that neither you nor the agent is authorized to grant.
To the extent permitted by law, this license survives removal of a contribution, termination of these terms, and account closure; existing sublicenses remain effective. SKYDB may review, edit, attribute, combine, reject, remove, delete, or decline to retain or publish contributions and copies under its control. Submission does not require SKYDB to use or preserve the material and does not guarantee payment, publication, editorial status, or a particular reward.
Private account details, private messages, and materials supplied privately under a customer engagement are not Public Contributions merely because they are submitted to SKYDB. This license does not override privacy rights, mandatory law, or a separate agreement governing private customer materials. The Privacy Policy explains personal-data handling. Copyright complaints may be submitted under the DMCA Policy.
6. Free-service availability
Free features may change or end. SKYDB compiles information in good faith and to the best of its knowledge from sources believed to be reliable. Records may nevertheless contain mistakes, estimates, omissions, or outdated information. Independently verify information before relying on it for design, construction, investment, or other consequential decisions; it is not a substitute for professional advice. Free access includes no availability or support commitment unless separately agreed.
7. Liability
To the maximum extent permitted by law, free services and data are supplied "as is" and "as available," without express, implied, or statutory warranties, including merchantability, fitness for a particular purpose, and noninfringement. SKYDB does not warrant accuracy, completeness, currency, uninterrupted access, or error-free or secure operation beyond obligations that cannot lawfully be disclaimed.
To the maximum extent permitted by law, SKYDB and its affiliates, personnel, service providers, and licensors exclude liability for losses from using or relying on free services or free data, including inaccurate, missing, or outdated records, and for indirect, incidental, special, consequential, exemplary, or punitive damages, lost profits, revenue, opportunities, goodwill, use, or data. Where liability remains, SKYDB's aggregate liability for free services under these terms is limited to USD 100. These provisions apply regardless of the legal theory, including contract or negligence, even if a loss was foreseeable.
These exclusions and the limit do not apply to fraud, willful misconduct, gross negligence, death or personal injury caused by negligence, or any liability or consumer protection that cannot lawfully be excluded or limited. These free-service limits do not replace the terms governing a paid purchase.
8. Ending use and changes
You may stop using SKYDB services or close an account. This does not by itself cancel an accepted paid Order or remove payment obligations; cancellation and termination of paid services follow the Terms of Service. SKYDB may restrict access reasonably to address a breach, fraud, security risk, or legal requirement, with notice and an opportunity to remedy where appropriate. Urgent protective action may be immediate. Contribution licenses and provisions needed to protect existing rights survive closure.
SKYDB may update these terms to reflect changes in services, legal requirements, or security needs. SKYDB will publish the revised version and its effective date and give at least 30 days’ advance notice of material changes through a prominent website or account notice, or by email where available. The notice will explain the material changes. Less advance notice is permitted only to the extent necessary to meet a legal requirement or address an urgent security risk; SKYDB will give notice as soon as reasonably practicable.
The revised terms apply prospectively from the stated effective date. SKYDB will request renewed agreement where required by law; posting a revision alone does not establish that agreement. A user that does not agree may stop using the affected services and close the account, subject to the Terms of Service for an existing paid Order. Changes do not retroactively alter prior conduct or an accepted paid Order; changes to paid Orders are governed by the Terms of Service. Mandatory rights remain unaffected.
9. Law and contact
The English-language version of these terms is the original and controlling version. Translations are provided for convenience only. If a translation conflicts with the English-language version, the English-language version prevails, except to the extent mandatory applicable law requires otherwise. This does not waive mandatory rights concerning the language, clarity, or delivery of consumer contract information.
Illinois law and applicable U.S. federal law govern, without overriding protections or forum rights that applicable law does not permit a contract to exclude. Subject to those rights, disputes belong in the state courts of Cook County, Illinois, or the U.S. District Court for the Northern District of Illinois, as appropriate.
An unenforceable provision does not invalidate the remaining terms. Failure to enforce a provision is not a waiver. Questions and notices: [email protected]; SKYDB Corporation, 400 E Randolph St #2322, Chicago, IL 60601, United States.
